These Terms of Service (“Terms”) govern your access to and use of qmet-academy.com and the online exam-preparation courses and related services (collectively, the “Service”) offered by QMET Academy, operated by Julien Atallah as a sole proprietor (“QMET Academy,” “we,” “us,” or “our”). Please read them carefully. By creating an account, purchasing, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

QMET Academy provides educational study materials, practice questions, and mock examinations designed to help you prepare for professional certification and technical exams. The Service is for study and preparation only. It is independent preparation material and does not administer any certification exam, and we do not guarantee that you will pass any exam or obtain any certification or credential.

2. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account or make a purchase. By using the Service, you represent that you meet this requirement and that the information you provide is accurate and complete.

3. Accounts

• You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
• Accounts are for a single individual. You may not share, transfer, or sell your account or allow others to access purchased content through it.
• Notify us promptly at the contact address below if you suspect unauthorized use of your account.

4. Purchases, Pricing, and Payment

Prices are shown in U.S. dollars and are payable at the time of purchase. Payments are processed by our third-party payment processor, Stripe; by purchasing, you also agree to Stripe’s applicable terms. Access to purchased content is granted to your account after successful payment. We may change prices or offerings at any time, but changes will not affect content you have already purchased. You are responsible for any applicable taxes.

Subject to these Terms and your payment, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the purchased content for your own individual study. All course materials, text, questions, explanations, graphics, and other content on the Service are owned by or licensed to QMET Academy and are protected by intellectual-property laws. You may not, except as expressly permitted:

• copy, reproduce, republish, distribute, publicly display, or resell any content;
• share your account or provide others access to purchased content;
• use any automated means to scrape, download, or harvest content; or
• use the content to create, train, or operate a competing product or service.

7. Non-Affiliation and Trademarks

QMET Academy’s materials are independent study aids. QMET Academy is not affiliated with, authorized, sponsored, endorsed by, or otherwise associated with any certifying body, standards organization, or government agency, including but not limited to ASQ, the Precast/Prestressed Concrete Institute (PCI), AASHTO, the American Welding Society (AWS), the Federal Highway Administration (FHWA), or the California Department of Transportation (Caltrans). All product names, trademarks, certification names, and registered trademarks are the property of their respective owners and are used only for identification and descriptive purposes; such use does not imply any endorsement or affiliation.

You agree not to use the Service in any unlawful manner, to interfere with or disrupt the Service or its security, to attempt to gain unauthorized access to any systems, to reverse engineer any part of the Service, or to use it in any way that infringes the rights of others.

9. Disclaimers

The Service and all content are provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that the content is complete or current, and we do not guarantee any particular outcome, exam result, or certification.

10. Limitation of Liability

To the fullest extent permitted by law, QMET Academy and its operator will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the product giving rise to the claim in the twelve months preceding the claim.

You agree to indemnify and hold harmless QMET Academy and its operator from any claims, damages, or expenses arising out of your misuse of the Service or your violation of these Terms.

12. Termination

We may suspend or terminate your access to the Service if you violate these Terms or misuse the Service. You may stop using the Service and request account deletion at any time. Sections that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will survive.

13. Changes to the Service and Terms

We may modify the Service or these Terms at any time. When we change these Terms, we will update the “Last updated” date and post the revised version. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws principles. You agree that any dispute arising under these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in California, unless applicable law provides otherwise.
